These terms govern your use of Nouvel. Please read them before creating an account, buying a subscription, or using a reel found through the service.

Agreement and eligibility

These Terms form a binding agreement between you and Sonautic Inc. (“Sonautic”, “we”, “us”), the company that operates Nouvel. By accessing or using our website, application, APIs, or related services (together, the “Service”), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 and legally able to enter this agreement. If you use the Service for a business, you confirm that you can bind that business, and “you” includes both you and the business.

What Nouvel provides

Nouvel helps users find, rank, save, download, and analyse publicly available short-form videos, and turns selected reels into creative research and remake playbooks. Search results, rankings, transcripts, metrics, and analyses may be incomplete, inaccurate, outdated, unavailable, or generated with artificial intelligence.

We may change, limit, suspend, or discontinue any part of the Service. We do not guarantee any result, level of engagement, commercial outcome, continued availability of a reel, or compatibility with a third-party platform.

Accounts

You must provide accurate information, protect your sign-in credentials, and promptly tell us of unauthorised use. You are responsible for activity through your account. You may not share an account, evade usage limits, create accounts after suspension, or use automated access unless we expressly allow it.

Third-party reels and stored copies

Reels and related captions, music, trademarks, likenesses, and other material belong to their respective creators and rights holders. Sonautic does not claim ownership of them, and their appearance in the Service does not mean that Sonautic, TikTok, a creator, or any rights holder endorses you or has licensed your use.

Stored reels are provided for reference and research in your own creative process. You are responsible for how you access, copy, adapt, publish, distribute, or otherwise use them.

You must obtain any permissions your use requires and comply with copyright, trademark, privacy, publicity, advertising, music, and platform rules. You may not use Nouvel to republish a third-party reel, impersonate its creator, falsely imply endorsement, remove rights information, or create unlawful or infringing material.

Sonautic may keep private working copies of selected reels so authorised users can download or analyse them. We may remove a result, disable access, or delete a stored copy at any time, including after a complaint, platform removal, legal request, or rights-holder request.

Your inputs and feedback

You retain rights in prompts, files, URLs, and other material you submit. You give Sonautic a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit, and display that material only as needed to provide, secure, maintain, and improve the Service, comply with law, and enforce these Terms. You confirm that you have the rights needed to submit it.

If you give us product feedback, you allow us to use it without restriction or payment. We do not acquire ownership of your confidential business material merely because you submit it to the Service.

Acceptable use

Our Acceptable Use Policy forms part of these Terms and sets out in full what you may and may not do with the Service. At a minimum, you must not:

  • break any law or infringe intellectual property, privacy, publicity, or contractual rights;
  • upload malware or harmful content, or generate fraud, harassment, hate, exploitation, or abuse;
  • probe, disrupt, overload, reverse engineer, or bypass security, access, billing, or rate limits;
  • scrape, resell, sublicense, or provide third-party access to the Service without written permission;
  • use outputs as a substitute for legal, financial, or other professional advice; or
  • use the Service or its outputs to train or build a competing product or dataset.

We may investigate suspected misuse and preserve or disclose information where reasonably necessary to protect users, Sonautic, third parties, or comply with law.

Plans, credits, billing, and cancellation

Plan prices, features, and included scan credits and analysis credits are shown on the pricing page. Analyses on different plans may differ in depth, production guidance, eligible video length, and available supporting features. Support response targets and onboarding services included in a plan are provided on a reasonable-efforts basis. Exporting an already completed analysis does not use another analysis credit. Subscriptions renew at the stated interval until cancelled. Prices on the pricing page are shown before tax. Any sales tax, VAT or equivalent is calculated from the billing address you give at checkout and is shown in the total before you pay. Credits have no cash value, are non-transferable, and do not roll over unless the plan expressly says otherwise.

Promotional access granted at no charge, including free months given as part of a campaign, ends at the end of the promotional period. Where no payment method was collected at signup, that access simply stops and nothing is charged: continuing is a separate step you take, not a renewal you have to cancel. Where a payment method was collected, the subscription renews at the stated price when the promotion ends, and we will email you before the first charge.

If you upgrade to a higher plan mid-cycle, the change takes effect immediately and you authorise an immediate prorated charge for the remainder of the billing period. If you downgrade, the change takes effect at the end of the current billing period and no partial refund is made for the unused portion of the higher plan, except where required by law.

You authorise Stripe to charge your payment method. You can cancel future renewal through the billing portal or by emailing billing@nouvel.ai. Cancellation takes effect at the end of the paid period unless applicable law requires otherwise. Fees already paid are non-refundable except where required by law or expressly stated by Sonautic.

UK and EEA consumers

If you are a consumer, mandatory consumer rights remain unaffected. You may have a statutory right to cancel an online service contract within 14 days. By using paid features during that period, you request that supply begin immediately. If you exercise a valid cancellation right after supply begins, we may deduct an amount proportionate to the service supplied where the law permits. Email billing@nouvel.ai with a clear cancellation request.

Our intellectual property

Sonautic and its licensors own the Service, including its software, interface, branding, ranking methods, prompts, and documentation. Subject to these Terms, we give you a limited, revocable, non-exclusive, non-transferable right to use the Service for your internal personal or business purposes. No other rights are granted.

Third-party services

The Service depends on third parties, including social platforms, data providers, cloud hosts, AI providers, and payment processors. Their terms may apply to your use. Sonautic does not control and is not responsible for third-party content, decisions, availability, security, accuracy, policy changes, blocks, rate limits, or service failures.

Disclaimers

To the fullest extent permitted by law, the Service and all results and analyses are provided “as is” and “as available”. Sonautic disclaims all express, implied, and statutory warranties, including merchantability, fitness for purpose, non-infringement, accuracy, quiet enjoyment, and uninterrupted or secure operation. You use the Service, third-party reels, and all outputs at your own risk.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded, including applicable statutory consumer rights.

Limitation of liability

To the fullest extent permitted by law, Sonautic will not be liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or for lost profits, revenue, goodwill, opportunities, data, content, or anticipated savings arising from the Service or third-party material.

Sonautic’s total aggregate liability arising from the Service or these Terms will not exceed the greater of £100 and the amount you paid Sonautic during the 12 months before the event giving rise to the claim.

These limits do not apply to liability that cannot legally be limited, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

Indemnity for business users

If you use the Service for business purposes, you will defend, indemnify, and hold Sonautic and its personnel harmless from third-party claims, losses, liabilities, and reasonable legal costs arising from your inputs, your use of a third-party reel or output, your breach of these Terms, or your violation of law or third-party rights. This section does not apply to the extent a claim was caused by Sonautic’s own unlawful conduct.

Suspension and termination

You may stop using the Service at any time. We may restrict, suspend, or terminate access if you breach these Terms, create risk or legal exposure, fail to pay, or if we discontinue the Service. Where practical, we will give notice, but we may act immediately when reasonably necessary.

On termination, your right to use the Service ends. Provisions that by nature should survive will survive, including ownership, payment obligations, disclaimers, liability limits, indemnities, and dispute terms.

Law, disputes, and changes

Delaware law governs these Terms, without regard to conflict-of-law rules. Courts located in Delaware have jurisdiction over disputes, except that a consumer may rely on mandatory protections and bring proceedings in any court available under the law of their home country. Before filing a claim, please email contact@nouvel.ai and allow 30 days for an informal resolution.

We may update these Terms. We will post the new effective date and give additional notice where required. If a change materially disadvantages you, it will apply prospectively. If any provision is unenforceable, the remainder stays effective. Our failure to enforce a provision is not a waiver. You may not assign this agreement without our consent; Sonautic may assign it as part of a reorganisation, financing, or sale.
